Terms of Service
1. Introduction & Contracting Entity
These Terms of Service (the "Terms") are a legally binding agreement between you and WedStay LLC, a Nevada limited liability company ("WedStay", "we", "us", or "our"), governing your access to and use of our website, mobile experiences, and related offerings (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES. IF YOU ARE USING THE SERVICES ON BEHALF OF A COMPANY OR OTHER ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS; IN THAT CASE, "YOU" AND "YOUR" REFER TO THAT ENTITY.
2. Definitions
- Account: A user account registered on the Services.
- Booking: A reservation requested or confirmed through the Services for a venue, accommodation, or related host services.
- Guest: A user who requests or makes a Booking for an event or stay.
- Host: A user or property owner who lists a venue, accommodation, or related services on the Services.
- Listing: A venue, accommodation, or related service made available by a Host via the Services.
- Vendor: A wedding professional or business participating in the vendor marketplace or subscriptions.
- Content: Text, photos, images, video, audio, reviews, and other materials posted, uploaded, or transmitted on the Services.
3. Our Services & Booking Role
WedStay is the exclusive booking partner and representative for the wedding venue properties listed on our platform. We manage the complete booking process from initial inquiry through contract execution and payment processing. All bookings for WedStay-listed properties must be made through WedStay.
WedStay also connects users with Vendors providing wedding services through our vendor marketplace. We do not own or operate the venue properties or vendor businesses themselves. We are not a real estate broker, travel agency, insurer, or legal/financial advisor.
Exclusive Booking Requirement: Properties listed on WedStay have authorized WedStay as their exclusive booking representative for wedding and event inquiries. Couples who discover properties through WedStay's platform, marketing, or services are required to complete their booking through WedStay. Attempting to book directly with a property after discovering it through WedStay violates these Terms and may result in the property being unavailable for your event.
Property details, availability, pricing, rules, and suitability are provided by property owners and verified by WedStay. While we work to ensure accuracy, you should exercise appropriate diligence and communicate any specific requirements during the booking process.
4. Eligibility & Account Registration
You must be at least 18 years old and able to enter into legally binding contracts to use the Services. When you register an Account, you must provide accurate, current, and complete information and keep it updated. You are responsible for all activity that occurs under your Account and for safeguarding your credentials. We may (but are not obligated to) require identity verification and request additional information at any time.
Third-Party Authentication
You may choose to register or sign in to your Account using third-party authentication services such as Google Sign-In. When you do so:
- You authorize us to access and use certain information from your third-party account as permitted by the third-party service
- You remain responsible for maintaining the security of your third-party account credentials
- You agree that we are not responsible for any acts or omissions of the third-party authentication provider
- Your use of third-party authentication is subject to the third party's terms of service and privacy policy
If you create or use an Account on behalf of a company or other entity, you represent that you are authorized to bind that entity, and grant us all permissions and licenses provided in these Terms.
5. Non-Discrimination & Accessibility
WedStay is committed to fostering an inclusive marketplace. All users must comply with our Non-Discrimination Policy and Accessibility Policy, which prohibit discrimination based on race, religion, national origin, disability, sexual orientation, gender identity, or other protected characteristics.
Hosts must provide accurate accessibility information and reasonably accommodate guests with disabilities, including accepting service animals without extra fees. Violations may result in suspension or removal from the platform.
6. Acceptable Use
You agree not to:
- Violate any applicable laws, regulations, or third-party rights.
- Interfere with, disrupt, or circumvent any security or access control of the Services.
- Scrape, crawl, harvest, or use automated means without our prior written consent.
- Upload malware, spam, or content that is defamatory, obscene, hateful, or unlawful.
- Misrepresent your identity, affiliation, or the nature of your event.
- Bypass our fee structure or facilitate off-platform transactions (see Section 13).
- Reverse engineer, decompile, or create derivative works from the Services except as permitted by law.
- Discriminate against users based on protected characteristics or violate our non-discrimination policies.
7. Listings, Bookings, Pricing & Estimates
When a Guest submits a Booking request, the Guest agrees to pay all charges identified during checkout, including Listing fees, WedStay service fees, Vendor fees (if applicable), taxes, and any additional charges disclosed by the Host or Vendor. Pricing shown on the Services may be estimates and is subject to change until a Booking is confirmed by the Host and acknowledged by WedStay.
Final pricing may vary from initial estimates due to seasonal adjustments, availability, guest count, special event surcharges, local taxes, or Listing rule changes. If you proceed to confirm, you accept responsibility for the final amounts. Hosts remain responsible for complying with their own tax obligations; WedStay may provide tools or facilitate tax collection/remittance in certain jurisdictions, but such support is not tax advice and Hosts remain responsible for accuracy and compliance.
8. Cancellations, Refunds & Resolution
Each Listing may include a cancellation and refund policy. By making a Booking, the Guest agrees to the applicable policy. WedStay may facilitate dispute resolution in its discretion, but we are not obligated to mediate. WedStay may issue partial or full refunds, or credits, consistent with the applicable policy or in extraordinary circumstances (including force majeure), each at WedStay’s reasonable discretion. No-shows are generally non-refundable.
If a Listing does not state a cancellation policy, the following default applies: cancellations are eligible for a refund of the recoverable Listing amount only, and WedStay service and booking fees are non-refundable except where required by law. Cancellations after a Booking is confirmed, and no-shows, may be non-refundable depending on the Host's policy and timing.
If a Host cancels a confirmed Booking, WedStay may assist the Guest with alternatives or refunds at WedStay’s discretion. Admin or processing fees may apply for cancellations, modifications, or extraordinary support.
9. Property Rules, Compliance & Damages
Guests must follow all Listing rules, occupancy limits, noise ordinances, curfews, permits, alcohol and fire restrictions, and other legal requirements. Hosts are solely responsible for ensuring that events are lawful at the property location and for obtaining any required permits. Guests are responsible for damages, excessive cleaning fees, and rule violations. Hosts may require a security deposit or authorize charges for damages; WedStay may facilitate claims and charge the Guest’s payment method in connection with such claims.
10. Payments, Payouts & Limited Collection Agent
Payments are processed via third parties (e.g., Stripe). By providing a payment method, you authorize WedStay and our payment processors to charge, pre-authorize, and place holds for amounts due, including fees, deposits, taxes, adjustments, damages, chargebacks, or penalties. Currency conversion and FX fees may apply. You are responsible for any chargebacks, and WedStay may recover such amounts from you, including by set-off from future payouts. See our Payments Terms for details.
For Hosts, WedStay may act as a limited payments collection agent, authorized to accept payments from Guests on your behalf. Receipt of payment by WedStay will be deemed receipt by the Host, discharging the Guest’s payment obligation to the extent of the amount received. Payouts to Hosts are subject to holds, compliance reviews, fraud checks, or legal orders. WedStay may withhold, freeze, offset, or recover amounts to satisfy obligations, refunds, or losses.
10A. Financing Options (Affirm)
WedStay may offer financing options for certain booking payments through our partnership with Affirm, Inc. ("Affirm"). When financing is offered:
- Third-Party Lender: All financing is provided by Affirm and its lending partners, including Cross River Bank, a New Jersey State Chartered Commercial Bank, Member FDIC. WedStay does not make credit decisions or guarantee financing approval.
- Separate Agreement: Your financing agreement is between you and Affirm, not WedStay. All terms, rates, and payment obligations are governed by Affirm's terms and conditions.
- No WedStay Liability: WedStay is not a bank, lender, or financial institution. WedStay is not responsible for Affirm's credit decisions, loan terms, interest rates, or any disputes arising from your financing arrangement.
- Payment Responsibility: You are solely responsible for making all payments to Affirm as required by your financing agreement, regardless of any issues with your venue booking.
- Credit Reporting: Affirm may report your payment activity to credit bureaus. Late or missed payments may negatively affect your credit score.
- Cancellations: If you cancel a booking that was financed through Affirm, you remain responsible for your Affirm loan. Any refunds received should be applied to your outstanding Affirm balance.

10B. Payment Safety & Fraud Prevention
WedStay takes payment security seriously. To protect yourself from fraud and impersonation scams, please be aware of the following:
Legitimate WedStay Communications
All official WedStay communications regarding payments, contracts, and bookings will come ONLY from email addresses ending in:
- @thewedstay.com (primary business communications)
- @notifications.thewedstay.com (automated system notifications)
IMPORTANT: If you receive any communication claiming to be from WedStay from a different email domain (e.g., @wedstay.co, @wed-stay.com, @thewedstay.net, or any other variation), DO NOT respond, click any links, or send any payment. Forward the suspicious email to info@thewedstay.com immediately.
Payment Methods
WedStay processes all payments securely through Stripe and ACH bank transfers. We will NEVER ask you to:
- Send a wire transfer directly to a bank account
- Pay via Venmo, Zelle, Cash App, or similar peer-to-peer payment apps
- Send cryptocurrency of any kind
- Purchase gift cards as a form of payment
- Send cash or money orders
Any request for payment via these methods is fraudulent, even if it appears to come from a WedStay email address.
Verification Steps
Before making any payment, we recommend:
- Verify the sender's email address carefully (check for misspellings or lookalike domains)
- Review your booking details in your WedStay account at www.thewedstay.com
- Never rush a payment due to artificial urgency or pressure tactics
Reporting Fraud
If you believe you have received a fraudulent communication or have been the victim of fraud related to a WedStay booking, please contact us immediately at info@thewedstay.com.
WEDSTAY IS NOT LIABLE FOR LOSSES RESULTING FROM PAYMENTS MADE OUTSIDE OF OUR OFFICIAL PAYMENT CHANNELS OR TO THIRD PARTIES IMPERSONATING WEDSTAY. USERS WHO MAKE PAYMENTS VIA WIRE TRANSFER, CRYPTOCURRENCY, PEER-TO-PEER APPS, OR OTHER UNOFFICIAL METHODS DO SO AT THEIR OWN RISK.
11. Vendor Subscriptions & Leads
Vendor subscriptions are available only to commercial entities and professionals. Vendor subscriptions (e.g., monthly or annual plans) auto-renew until canceled via email. By subscribing, you authorize recurring charges at the then-current rate until cancellation. Unless required by law, partial-period refunds are not provided. Performance, impressions, click-throughs, or lead volume are not guaranteed. Resale of leads or off-platform solicitation that circumvents WedStay is prohibited. See our Vendor Terms Addendum for additional terms.
12. Insurance & Risk Allocation
WedStay is not an insurer. Hosts are solely responsible for maintaining adequate property and liability insurance. Guests are responsible for obtaining event insurance if required by the Host, venue, or local law. Vendors are responsible for carrying appropriate commercial insurance. WedStay does not provide legal or insurance advice.
13. Non-Circumvention
You agree not to circumvent WedStay by completing or attempting to complete transactions for Listings, venues, or vendor services introduced through the Services outside the platform for a period of 12 months from first contact. As liquidated damages (not a penalty), WedStay may charge the greater of: (a) the service fee that would have applied to the off-platform transaction(s), or (b) $2,500, plus reasonable costs of enforcement.
14. Reviews & Feedback
Guests and Hosts may post reviews, which must be truthful and not abusive, defamatory, or misleading. Review manipulation is prohibited. By submitting reviews or feedback, you grant WedStay a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, display, adapt, and create derivative works for any purpose. WedStay may moderate, remove, or refuse Content at its discretion, but has no obligation to do so.
15. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by WedStay or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, WedStay grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for personal, non-commercial use. You retain ownership of your Content, but grant WedStay a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, adapt, and create derivative works to operate, promote, and improve the Services.
16. DMCA Notice & Takedown
WedStay complies with the Digital Millennium Copyright Act (the "DMCA," 17 U.S.C. § 512). This Section describes how to notify us of allegedly infringing material — including a photo or video message in a WedStay One guest gallery — and how we respond.
16.1 Designated Agent
WedStay has registered a Designated Agent with the U.S. Copyright Office to receive notifications of claimed infringement. Send DMCA notices to:

16.2 Filing a takedown notice
To report material you believe infringes your copyright, send the Designated Agent a written notice that includes:
- your physical or electronic signature;
- identification of the copyrighted work you claim has been infringed;
- identification of the material claimed to be infringing and information reasonably sufficient to let us locate it (for a guest gallery, the photo ID and gallery URL — the "Report this photo" link in the gallery pre-fills these);
- your contact information (address, telephone number, and email);
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Notices that do not substantially comply with the above may not be effective and may not be acted upon.
16.3 Our response
Upon receipt of a notice that substantially complies with Section 16.2, WedStay will expeditiously remove or disable access to the identified material and will take reasonable steps to notify the user who uploaded it, where that user is reachable.
16.4 Counter-notification
If you are the user whose upload was removed and you believe the removal was a mistake or misidentification, you may send the Designated Agent a counter-notification that includes:
- your physical or electronic signature;
- identification of the material removed and the location at which it appeared before removal;
- a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and
- your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, any judicial district in which WedStay may be found), and that you will accept service of process from the person who filed the original notice or that person's agent.
If WedStay receives a valid counter-notification, we may restore the removed material in 10–14 business days unless the original complaining party first notifies us that it has filed a court action seeking to restrain the allegedly infringing activity.
16.5 Repeat-infringer policy
WedStay maintains and enforces a policy of terminating, in appropriate circumstances, the access of users who are repeat infringers. A user associated with three (3) valid takedowns may be permanently banned — by IP address and device fingerprint — across all WedStay services, including all WedStay One galleries. WedStay may also remove infringing content and restrict access in other circumstances at its discretion.
16.6 Misrepresentation
Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed by mistake or misidentification, may be liable for damages.
17. Communications, SMS & TCPA Consent
By providing your phone number, you consent to receive calls and text messages (including automated or prerecorded) related to your inquiries, Bookings, Vendor leads, and account from WedStay at the number provided. Message and data rates may apply. Message frequency varies. Reply STOP to opt out and HELP for help. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.
You agree that WedStay may contact you via email, in-product messages, and SMS for transactional and certain marketing communications, subject to your preferences and applicable law. You can manage marketing preferences in your Account or by using provided opt-out mechanisms.
18. Third-Party Services & Terms
The Services may integrate or link to third-party services (e.g., Stripe, Google Maps, Ghost CMS, PostHog). Your use of those services is subject to their terms and privacy policies. WedStay is not responsible for third-party content, products, or services and makes no warranties regarding them.
19. Social Media Content & Embedded Videos
Third-Party Platform Content: The Services may feature embedded content from social media platforms including but not limited to TikTok®, Instagram®, YouTube®, and other platforms ("Social Media Content"). WedStay is not affiliated with, endorsed by, or sponsored by any of these platforms or their parent companies. All Social Media Content remains the intellectual property of the respective platforms and content creators.
Content Ownership & Copyright: All videos, images, music, and other content embedded from social media platforms remain the property of their respective owners and creators. WedStay does not claim ownership of any Social Media Content. Content is embedded using platform-provided embed codes for informational and educational purposes related to showcasing wedding venues and events. The presence of Social Media Content on our Services does not imply endorsement by the content creators or platforms.
Music & Audio Rights: Embedded videos may contain copyrighted music and audio. Videos are displayed muted by default to respect copyright holders' rights. Users who wish to view content with audio should visit the original platform. Musical compositions and sound recordings remain the property of their respective copyright holders.
Content Accuracy & Liability: WedStay makes no representations about the accuracy, reliability, completeness, or timeliness of any Social Media Content. We are not responsible for any errors, omissions, or results obtained from the use of this information. Views, engagement metrics, and other statistics shown are approximate and subject to change. Any reliance on Social Media Content is at your own risk.
Content Removal Requests: If you are a content owner or authorized representative and believe your content has been embedded improperly or without authorization, please contact us immediately at info@thewedstay.com with: (1) identification of the content; (2) the URL where it appears on our Services; (3) proof of ownership or authorization; and (4) a statement that you have a good faith belief that use is not authorized. We will promptly investigate and remove content if appropriate.
Data Collection by Platforms: Embedded Social Media Content may enable third-party platforms to collect data about your interaction with that content, including through cookies and similar technologies. This data collection is governed by the respective platform's privacy policy and terms of service, not by WedStay's policies.
Trademark Notice: TikTok® is a registered trademark of TikTok Inc. Instagram® is a registered trademark of Meta Platforms, Inc. YouTube® is a registered trademark of Google LLC. All other trademarks, service marks, and trade names referenced are the property of their respective owners. Use of these marks does not imply any affiliation with or endorsement by their owners.
20. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to the collection, use, and sharing of your information as described therein.
21. Export Controls & Sanctions
You represent that you are not located in, organized under the laws of, or ordinarily resident in any embargoed or sanctioned country, and are not a prohibited party under U.S. or other applicable sanctions laws. You agree to comply with all export control and sanctions laws in connection with your use of the Services.
22. Warranty Disclaimers & Venue Features
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WEDSTAY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
IMPORTANT VENUE DISCLAIMER: WEDSTAY DOES NOT OWN, OPERATE, INSPECT, OR CONTROL THE VENUES LISTED ON OUR PLATFORM. WE DO NOT VERIFY, WARRANT, OR GUARANTEE THE ACCURACY, COMPLETENESS, OR ADEQUACY OF VENUE DESCRIPTIONS, INCLUDING BUT NOT LIMITED TO ACCESSIBILITY FEATURES, SAFETY CONDITIONS, OR SUITABILITY FOR YOUR EVENT. PRIVATE ESTATES AND RESIDENCES MAY NOT BE SUBJECT TO THE SAME REGULATIONS AS COMMERCIAL VENUES. YOU ARE RESPONSIBLE FOR EVALUATING WHETHER A VENUE MEETS YOUR NEEDS, INCLUDING ANY ACCESSIBILITY REQUIREMENTS.

NO ENDORSEMENT:ANY VERIFICATION LABELS, TIER OR MEMBERSHIP BADGES, "FEATURED" PLACEMENT, CURATION, OR SIMILAR DESIGNATIONS WE APPLY TO A VENUE OR VENDOR ARE FOR CONVENIENCE ONLY AND DO NOT CONSTITUTE AN ENDORSEMENT, RECOMMENDATION, OR GUARANTEE OF ANY VENUE, VENDOR, OR THEIR SERVICES. YOU REMAIN RESPONSIBLE FOR YOUR OWN EVALUATION AND DUE DILIGENCE.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEDSTAY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR ANY LISTING OR VENDOR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL WEDSTAY’S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WEDSTAY IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
24. Indemnification
You agree to defend, indemnify, and hold harmless WedStay and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, Listings, or Vendor services; (b) your violation of these Terms; (c) your violation of laws or third-party rights; (d) your Content or events; (e) any discriminatory acts or failures to accommodate disabilities; or (f) any misrepresentation about venue features or accessibility.
25. Force Majeure
WedStay will not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil disturbances, labor disputes, utility or internet outages, governmental orders, or other force majeure events.
26. Dispute Resolution, Governing Law & Arbitration
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles. You and WedStay agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, or by another reputable administrator we mutually agree upon. The seat and venue of arbitration will be Las Vegas, Nevada. The language will be English. The arbitrator has exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of these Terms (including the arbitration agreement and class action waiver), including any claim that all or any part of these Terms is void or voidable.
CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. YOU MAY SEEK RELIEF ONLY ON YOUR OWN BEHALF.
SMALL CLAIMS & INJUNCTIVE RELIEF: Nothing in this Section prevents either party from seeking relief in small claims court or seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized access or misuse of the Services. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice to info@thewedstay.com with the subject line “Arbitration Opt-Out” and your full name and the email associated with your Account.
27. Modifications to the Services & Terms
We may modify the Services or these Terms at any time. If we make material changes to the Terms, we will provide notice by posting the updated Terms and updating the “Last Updated” date below. The changes will be effective on the date posted unless otherwise stated. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
28. Termination & Suspension
We may suspend or terminate your Account or access to the Services at any time with or without notice if we believe you violated these Terms, pose a risk, or for other reasons. Upon termination, all rights and licenses granted to you will cease immediately. Sections that by their nature should survive will survive termination.
29. General Terms
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Severability: If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect. No Waiver: Our failure to enforce any right will not be a waiver of such right. Entire Agreement: These Terms, together with the Privacy Policy and any applicable policies referenced herein, constitute the entire agreement between you and WedStay.
Notices: We may provide notices by posting to the Services or emailing you at the address associated with your Account. You consent to electronic communications and records regarding your use of the Services.
30. Host & Vendor Responsibilities
Hosts and Vendors using our platform have specific responsibilities beyond general user obligations:
Host Responsibilities:
- Provide accurate, complete descriptions of venue features and limitations
- Disclose accessibility information truthfully without making discriminatory assumptions
- Comply with all applicable laws, including those related to discrimination and accessibility
- Accept service animals without additional fees where required by law
- Consider reasonable accommodation requests from guests with disabilities
- Maintain adequate insurance and comply with local permit requirements
- Respond promptly and professionally to guest inquiries
Vendor Responsibilities:
- Provide services without discrimination based on protected characteristics
- Maintain appropriate business licenses and insurance
- Accurately represent capabilities and services offered
- Honor commitments made through the platform

31. API, MCP Server & Developer Access
WedStay may provide access to certain venue, vendor, and booking data through application programming interfaces (the "API"), Model Context Protocol servers (the "MCP Server"), and related developer tools (collectively, the "Developer Services"). By accessing or using the Developer Services, you agree to the additional terms in this section, which supplement the rest of these Terms.
31.1 Definitions
- WedStay Data: Any data, content, or information made available through the Developer Services, including but not limited to venue listings, pricing, photos, vendor profiles, and testimonials.
- API Key: A unique credential issued by WedStay to authenticate access to the Developer Services.
- End User: Any person who accesses WedStay Data through your application or integration.
31.2 License
Subject to your compliance with these Terms, WedStay grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Developer Services solely for the purposes expressly permitted in these Terms and any accompanying developer documentation. All rights not expressly granted are reserved by WedStay.
31.3 API Key Security
You are responsible for maintaining the confidentiality and security of your API Key. You must not share, publish, embed in client-side code, or otherwise expose your API Key. You are responsible for all activity that occurs under your API Key. Notify WedStay immediately at info@thewedstay.com if you believe your API Key has been compromised.
31.4 Prohibited Uses
You may not, and may not permit any third party to:
- Scrape or harvest data: Use the Developer Services to scrape, crawl, harvest, collect, or store WedStay Data for the purpose of building databases, datasets, directories, or data repositories.
- Create competing products: Use the Developer Services or any WedStay Data to create, develop, or operate any product, service, or application that competes with or provides substantially similar features or functionalities as WedStay, including but not limited to wedding venue marketplaces, vacation rental platforms, or venue booking services.
- Redistribute data: Redistribute, sublicense, sell, lease, lend, or otherwise make available WedStay Data to any third party, whether in raw, processed, aggregated, or derivative form, except as strictly necessary to display WedStay Data to End Users through your approved application.
- Generate market intelligence: Use WedStay Data to generate platform-wide statistics, comparisons, summaries, benchmarks, or analytics regarding venue pricing, availability, booking patterns, or market data.
- Advertising or marketing: Use WedStay Data for advertising targeting, marketing lists, direct marketing, telemarketing, or lead generation purposes, except as part of WedStay's authorized inquiry submission tools.
- Misrepresent source: Display WedStay Data in a manner that obscures its origin, makes it appear to come from a source other than WedStay, or removes WedStay attribution.
- Reverse engineer: Reverse engineer, disassemble, decompile, or otherwise attempt to extract the source code, algorithms, or data models of the Developer Services.
- Exceed rate limits: Circumvent, bypass, or attempt to exceed rate limits or other technical restrictions placed on the Developer Services.
31.5 AI, Automated & Machine Access
In addition to the restrictions above, the following rules apply to automated, AI, and machine-learning access:
- No AI training: You may not use the Developer Services or WedStay Data to train, fine-tune, or develop any machine learning model, large language model (LLM), neural network, or other artificial intelligence system, whether for commercial or research purposes.
- No dataset creation: You may not feed WedStay Data into any AI training pipeline, dataset, corpus, knowledge base, vector database, embedding store, or retrieval-augmented generation (RAG) system.
- Real-time queries only: Access to WedStay's MCP Server is provided solely to enable real-time, on-demand information retrieval for End Users. Each MCP tool call must correspond to a specific, identifiable End User query. Batch processing, bulk extraction, or speculative pre-fetching of data via the MCP Server is prohibited.
- No competing AI services: You may not use WedStay Data to create, develop, or improve any AI-powered product or service that provides venue search, discovery, comparison, or booking functionality.
- AI output attribution: If you are authorized to use WedStay Data in AI-assisted applications, any AI-generated output that incorporates WedStay Data must clearly attribute the data source to WedStay.
31.6 Attribution
Any display of WedStay Data to End Users must include clear, visible attribution to WedStay. You must display "Data by WedStay" or the WedStay logo adjacent to any WedStay Data displayed to End Users, and include a hyperlink to the relevant venue or vendor page on www.thewedstay.com. You may not use the WedStay name, logo, or trademarks in any manner that suggests endorsement or affiliation beyond your authorized API usage.
31.7 Rate Limits & Fair Use
WedStay may set and enforce limits on your use of the Developer Services, including but not limited to daily request quotas, per-minute burst limits, and venue detail lookup limits. Current rate limits are published at thewedstay.com/developers/rate-limits. WedStay may modify rate limits at any time. Exceeding rate limits may result in temporary or permanent suspension of access. WedStay reserves the right to throttle, restrict, or suspend any access that constitutes excessive, abusive, or disruptive usage, regardless of whether such usage falls within published limits.
31.8 Data Accuracy & No Warranty
WEDSTAY DATA IS PROVIDED "AS IS" AND "AS AVAILABLE." WEDSTAY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY WEDSTAY DATA. VENUE PRICING, AVAILABILITY, PHOTOS, AND OTHER DETAILS MAY CHANGE WITHOUT NOTICE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY WEDSTAY DATA BEFORE RELYING ON IT OR DISPLAYING IT TO END USERS.
31.9 Monitoring & Compliance
WedStay reserves the right to monitor all usage of the Developer Services, including API request patterns, data access volume, and MCP session activity. WedStay may distinguish between human-initiated and automated requests and apply different rate limits or restrictions accordingly. WedStay may audit your use of WedStay Data at any time to verify compliance with these Terms.
31.10 Suspension & Termination of Developer Access
WedStay may immediately suspend or terminate your access to the Developer Services, without prior notice, if: (i) you breach any provision of this section or these Terms; (ii) WedStay determines that your use poses a security risk or causes harm to WedStay, its users, or its partners; (iii) you use the Developer Services to develop or operate a competing service; (iv) you exceed rate limits repeatedly or engage in abusive usage; or (v) WedStay discontinues the Developer Services. Upon termination, you must immediately cease all use of the Developer Services, delete all copies of WedStay Data in your possession, and remove all WedStay branding from your applications.
31.11 Intellectual Property
WedStay and its licensors exclusively own all rights, title, and interest in and to the Developer Services, the WedStay Data, and all associated intellectual property rights. Any analytics, compilations, aggregations, or derivative works created from WedStay Data remain the exclusive property of WedStay. If you provide suggestions or feedback regarding the Developer Services, you grant WedStay an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose.
31.12 Indemnification
In addition to Section 24 of these Terms, you agree to defend, indemnify, and hold harmless WedStay from any claims, damages, losses, or expenses arising from: (a) your use of the Developer Services; (b) your breach of this section; (c) any End User's use of WedStay Data accessed through your application; or (d) any violation of third-party rights resulting from your integration.
32. WedStay One — Product Terms (Wedding Page, RSVP, Photo Wall & Video Guestbook)
This Section governs WedStay One, our digital wedding-page product (your "Page"), which may include a wedding website, RSVP collection, schedule and day-of timeline, registry and hotel links, seating and check-in, a live guest photo wall, day-of group chat, and the Video Guestbook (guest video messages). WedStay One is a software product licensed to you, separate from venue bookings, and is sold as a one-time purchase per tier (with certain Pages provided at no charge to couples who book a venue through WedStay). This Section supplements the rest of these Terms; in the event of a conflict regarding WedStay One, this Section controls.
32.1 No Availability, Uptime, or Day-of Guarantee
WEDSTAY ONE AND ALL OF ITS FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE THAT YOUR PAGE, RSVP COLLECTION, PHOTO WALL, SCHEDULE, DAY-OF TIMELINE, CHAT, SEATING, OR VIDEO GUESTBOOK WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THEY WILL FUNCTION AT ANY PARTICULAR TIME — INCLUDING ON OR AROUND YOUR WEDDING DAY. You acknowledge that internet, hosting, device, and third-party service failures occur, and you agree NOT to rely on WedStay One as your sole or primary means of communicating time-sensitive or critical day-of information. You are responsible for maintaining independent backups (for example, a printed schedule, seating chart, and contact list).
32.2 Content, Photos, Video Messages & Data — No Guarantee; Keep Your Own Copies
WE DO NOT GUARANTEE THAT ANY CONTENT — INCLUDING RSVPS AND GUEST RESPONSES, PHOTOS, VIDEO MESSAGES, CHAT MESSAGES, SCHEDULES, OR OTHER DATA — WILL BE STORED, RETAINED, BACKED UP, DELIVERED, DISPLAYED, OR RECOVERABLE. Content may fail to upload, be delayed, be lost, be corrupted, or be deleted. YOU ARE SOLELY RESPONSIBLE FOR KEEPING YOUR OWN COPIES of any photos, video messages, guest responses, or other content you wish to preserve. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEDSTAY IS NOT LIABLE FOR ANY LOSS, CORRUPTION, DELETION, NON-DELIVERY, OR INACCESSIBILITY OF CONTENT, OR FOR ANY MISSED, LATE, OR UNDELIVERED RSVP, NOTIFICATION, OR MESSAGE.
32.3 Retention & Length of Access
Content is retained only for the period associated with your tier (for example, the photo-storage window stated on our pricing page) and may be deleted afterward. Any reference to keeping your Page or content "for good," "forever," or for a lifetime describes our current intent and is provided on an as-available basis; access may change or end — including if we modify, suspend, or discontinue WedStay One — and we will use commercially reasonable efforts to provide advance notice where practicable. Additional retention may be available as a paid add-on where offered.
32.4 Guests, Guest Content & Your Responsibility
Your Page is filled in by your guests, who may submit photos, video messages, RSVPs, messages, and other content. You are responsible for your guests' access to and use of your Page and for the content they submit. WedStay does not pre-screen guest content and is not responsible for content that is inaccurate, offensive, infringing, unlawful, or otherwise objectionable. You are responsible for obtaining any consents required from your guests (including for the collection of their information and the recording, display, and sharing of their photos and video messages), and you agree to defend, indemnify, and hold WedStay harmless from any claim arising out of your guests' use of your Page or the content submitted to it. We may screen, moderate, refuse, limit, or remove any content, or disable any Page, at our discretion and without obligation.
32.5 Guests Are Users
Any person who accesses, views, RSVPs to, uploads to, or otherwise interacts with a Page is a user of the Services and is bound by these Terms, including the warranty disclaimers and limitations of liability in Sections 22–25 and this Section 32.
32.6 Purchases, Add-ons & Refunds
WedStay One tiers are a one-time purchase. Where we advertise a refund window (for example, a 14-day full refund), that window governs; outside it, purchases are non-refundable except where required by law. À la carte add-ons (for example, additional guest cameras, film, invitations, the Video Guestbook unlock, extended storage, or a custom domain) are non-refundable once applied to your Page. The conditions disclaimed in this Section (including availability and content loss) are not grounds for a refund or chargeback.
32.7 Convenience Tool; No Professional Reliance
WedStay One is a convenience tool. We do not guarantee that any guest will receive, see, or act on any information presented through it, and we are not responsible for outcomes that depend on guests doing so (including attendance, headcounts, dietary or seating arrangements, or timing).
32.8 Limitation of Liability
The warranty disclaimers (Section 22), limitation of liability and damages cap (Section 23), indemnification (Section 24), and force majeure (Section 25) provisions of these Terms apply in full to WedStay One. WITHOUT LIMITING THOSE PROVISIONS, WEDSTAY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO WEDSTAY ONE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID WEDSTAY FOR THE WEDSTAY ONE PAGE GIVING RISE TO THE CLAIM (AND, FOR A PAGE PROVIDED AT NO CHARGE, WILL NOT EXCEED USD $50).
32.9 Guest Upload License & Representations
This Section applies to any photo, image, or video message you ("you," "Guest") upload, submit, or otherwise contribute to a WedStay One gallery or Page (each, an "Upload"), whether via a QR-code upload link, a gallery page, or any other WedStay-provided upload surface. By making an Upload, you grant WedStay a perpetual, irrevocable, royalty-free, worldwide, sublicensable, and transferable licenseto host, store, reproduce, cache, distribute, publicly display, publicly perform, modify, adapt, and create derivative works from your Upload, in any media now known or later developed, to: (a) operate, provide, and improve the gallery and the WedStay platform, including generating image and video variants and rendering your Upload inside WedStay-designed frames (such as the "polaroid" share frame described in Section 32.10); (b) market, advertise, promote, and demonstrate WedStay and its products and services across any channel; and (c) develop and operate current and future WedStay products and features. This license survives deletion of your Upload from a specific gallery and termination of the gallery, except that, on your verified request, WedStay will use commercially reasonable efforts to cease new uses of the specific Upload in forward-facing marketing going forward (existing distributed copies and aggregate or derived materials excepted).
You represent and warrant that, for each Upload: (a) you are the sole author/owner of the Upload, or you have obtained all rights, licenses, consents, and permissions necessary to make the Upload and grant the license above; (b) the Upload, and WedStay's use of it as permitted here, does not and will not infringe, misappropriate, or violate any third party's copyright, trademark, publicity, privacy, or other right; and (c) you have obtained any necessary consent of identifiable individuals appearing in the Upload. You will not upload any image or recording you do not own or have the right to share, including work created by a professional photographer or videographer that you have not been licensed to redistribute.You agree to defend, indemnify, and hold harmless WedStay and its officers, directors, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to your Uploads, your breach of these representations, or WedStay's permitted use of your Uploads in reliance on them. Nothing in this Section transfers ownership of an Upload's underlying content to WedStay or to the couple or host; it grants the licenses described above.
32.10 Framed-Image ("Polaroid") Render License
WedStay may render an Upload inside a WedStay-designed frame — for example, the branded "polaroid" share image used for one-tap social sharing. You or the couple own the photographic content of the Upload; WedStay claims no ownership of the underlying photo. WedStay owns the frame design— the template, layout, typography, watermark placement, and the "Powered by WedStay" lockup — which are WedStay product assets and are not licensed to you for independent use, modification, or reproduction apart from the framed images WedStay generates. You grant WedStay a non-exclusive license to composite your Upload into WedStay's frame design and to generate, store, and serve the resulting framed image for as long as the underlying photo lives on the Page. This render license terminates when the underlying photo is removed from the Page or the Page is deleted; it is narrower than, and does not limit, the broader marketing and product license in Section 32.9. The "Powered by WedStay" lockup may not be removed, obscured, or altered on any tier.
32.11 Surviving License & Legal Holds
Deletion of a photo or video message from a Page ends the render license in Section 32.10 for that item and stops new forward-facing marketing uses on request (Section 32.9), but does not retroactively rescind the perpetual license in Section 32.9 as to copies already created or distributed, or as to aggregate or derived materials. WedStay will use commercially reasonable efforts to honor a verified deletion request for a specific, identifiable item. WedStay may retain content as required to comply with law, enforce its agreements, resolve disputes, or respond to a DMCA matter, notwithstanding any deletion request.
