Vendor Terms Addendum

This Vendor Terms Addendum (the "Addendum") supplements and forms part of the WedStay LLC (Nevada) Terms of Service and applies to Vendors who purchase memberships, receive leads, or otherwise participate in WedStay’s vendor marketplace (collectively, "Vendor Services"). Capitalized terms have the meanings given in the Terms of Service.

1. Eligibility & Commercial Use

Vendor memberships are available only to commercial entities and professionals operating a bona fide wedding-related business. By enrolling, you represent that you are a business or professional and will use the Vendor Services solely for commercial purposes and in compliance with applicable laws (including licensing and permitting requirements).

2. Membership, Payment & Refunds

Collective membership is a one-time payment for lifetime access to the Vendor Services. It does not renew, no recurring charge is authorized, and no payment method is kept on file after purchase. Legacy monthly or annual subscriptions remain governed by the terms in effect when they were purchased until WedStay moves them onto lifetime membership.

Seven-day guarantee: if you purchase membership and change your mind within seven (7) days of payment, email the vendor team and you will receive a full refund, provided that no staff-delivered item (an audit, a strategy, a newsletter feature, or a blog feature) has already been delivered to you. Any charter seat held under a refunded membership is released. After the seven-day guarantee window, membership payments are non-refundable, including where you leave the Collective or where WedStay removes your listing for cause under Section 9. Impressions, reach, or lead volumes are not guaranteed.

3. Leads, Usage & Restrictions

  • Leads are provided for your internal use to evaluate and contact prospective clients for your services related to the inquiry.
  • You may not resell, transfer, sublicense, publish, or otherwise disclose lead data to third parties.
  • You must comply with all applicable laws when contacting leads, including CAN-SPAM, TCPA, and state telemarketing regulations.
  • Harassment, spam, or misleading communications are prohibited.
  • WedStay does not guarantee conversion, revenue, or engagement from any lead.

4. Non-Circumvention

You agree not to circumvent WedStay by soliciting or completing transactions off-platform for venues, listings, or other platform introductions in violation of the Terms of Service. Liquidated damages and enforcement rights set forth in the Terms apply to Vendors.

5. Content, Trademarks & License

You grant WedStay a non-exclusive, worldwide, royalty-free license to use, reproduce, display, adapt, and distribute your submitted logos, marks, photos, text, and other materials for operating and promoting the Vendor Services and the platform. You represent that you own or have rights to all submitted materials and that they do not infringe third-party rights.

6. Reviews & Conduct

Review manipulation is prohibited. You may not incentivize reviews or post misleading or defamatory content. WedStay may moderate or remove content in its discretion but has no obligation to do so. You agree to act professionally and lawfully in all interactions with users and other vendors.

7. Compliance & Insurance

You are responsible for complying with all laws, regulations, and industry standards applicable to your services and for maintaining appropriate insurance. WedStay is not an insurer and does not provide legal or compliance advice.

8. Data Use & Privacy

You will handle lead and client information in compliance with applicable privacy laws and our Privacy Policy. You will promptly delete lead data upon request by WedStay or the data subject where required by law. You will implement reasonable security measures appropriate to the sensitivity of the data you process.

9. Termination; Suspension

WedStay may remove or pause a listing, and may suspend or terminate Vendor access, for violations of this Addendum or the Terms of Service, misrepresentation, repeated failure to respond to couples who contact you through WedStay within three (3) business days, conduct that harms couples or the WedStay community, risk concerns, or legal compliance. Outside the seven-day guarantee window in Section 2, removal for cause is not refundable. Upon termination, your right to use Vendor Services ceases; unpaid amounts remain due. Sections that by their nature should survive will survive termination.

10. Disclaimers; Limitation; Indemnity

THE VENDOR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEDSTAY’S LIABILITY IS LIMITED AS STATED IN THE TERMS OF SERVICE. YOU AGREE TO INDEMNIFY WEDSTAY FOR CLAIMS ARISING FROM YOUR SERVICES, CONTENT, OR BREACHES OF THIS ADDENDUM OR THE TERMS OF SERVICE.

11. Governing Law & Disputes

Nevada law governs this Addendum. Disputes are subject to the arbitration agreement, class action waiver, and small claims carve-out in the WedStay Terms of Service (Las Vegas, Nevada seat).
